Many shareholders who hold their securities in registered form find the process of transferring their securities frustrating as transfer agents require “signature guarantees’ to change the registration of a security.

What is a Signature Guarantee?

Transfer agents generally do not have a direct business relationship with the shareholders they serve on behalf of their clients.  Further, the securities being transferred can be valuable and the transfer agent does not want to assume the financial risk and cost of replacing a security that was improperly transferred.  As a result, the transfer agent must obtain assurance that the Power of Attorney transferring the security is signed by either the person whose name appears on the face of the certificate or by a person who is authorized to sign on behalf of a company, trust, or other organization.  This assurance is the “signature guarantee” where the transfer agent looks to a third party to guarantee or verify that the person who signed the Power of Attorney is the registered owner or a person authorized to sign on behalf of a company, trust or other organization.  In the past, bank and trust company managers and members of a stock exchange were viewed as people who could guarantee signatures.  They would have personal relationships with the presenter and if not, their organization would be held liable for false transfer.

What is a Bank Signature guarantee?

A Bank signature guarantee is a stamp that is placed on a certificate guaranteeing the signature of the transferor by an authorized officer of the bank.  The stamp must read “Signature Guaranteed”, must be a stamp provided by a major Canadian bank listed on Schedule I of the Bank Act and must be signed by an appropriate officer of the bank.  For it to accept this form of guarantee, the transfer must be able to find and identify the bank employee’s signature in the bank’s signature book either by employee number or by clear spelling of their name.

What is a Medallion STAMP guarantee?

The Medallion STAMP Signature Guarantee programme was created in the United States under the auspices of the Securities Exchange Commission (“SEC”).  The SEC was finding that investors were unable to obtain signature guarantees or transfer agents were not accepting signature guarantees from small financial institutions.  As a result, these investors could not transfer their securities.  The Medallion STAMP program is a surety programme where banks, brokers and other financial institutions purchase insurance to protect transfer agents and their issuer clients from possible economic loss due to a false transfer.  If a transfer agent falsely transfers a security, they can make a claim first, against the new registrant, second, against the guarantor and lastly, against the surety company.
Where can I get a Medallion STAMP guarantee in Canada?

Most brokerage firms, banks and trust companies participate in the Medallion STAMP programme.

Is there a dollar limit to the value of protection provided by the Medallion STAMP surety?

Each participant in the Medallion STAMP programme has a limit as to the fair market value of the security that can be transferred under its Medallion.  Under the authorized signature line there appears an eight character identification number.  The first character represents the fair market value of the security that can be transferred.  For example, an “E” supports a transfer valued at $100,000 or less, an “A” supports a value of $1,000,000 or less and a “Z” supports the highest value of $10,000,000 or less.
